3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information as required for service delivery
• Respond to requests for information in a timely manner
• Review and approve deliverables within agreed timeframes
• Make payments according to the agreed schedule
• Comply with all applicable laws and regulations

4. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

• Setup fees are due upon contract signing
• Monthly retainer fees are due on the first of each month
• Late payments may incur a fee of 1.5% per month
• Services may be suspended for accounts more than 30 days past due

5. Intellectual Property

Upon full payment, clients own the final deliverables created specifically for them. Berks County Marketing retains the right to display work in portfolios and marketing materials unless otherwise agreed. All proprietary methodologies and processes remain the property of Berks County Marketing.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information received during the course of the business relationship. This obligation survives termination of the service agreement.

7. Limitation of Liability

Berks County Marketing shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability shall not exceed the total amount paid by the client in the preceding 12 months.

8. Indemnification

You agree to indemnify and hold harmless Berks County Marketing from any claims, losses, or damages, including legal fees, resulting from your breach of these Terms or misuse of our services.

9. Termination

Either party may terminate services with 30 days written notice. Upon termination, client is responsible for payment of all services rendered up to the termination date. Work product will be delivered upon full payment.

10. Disclaimer

While we strive to achieve the best results, we cannot guarantee specific rankings, traffic levels, or business outcomes. SEO and digital marketing results depend on many factors beyond our control.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Pennsylvania, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Berks County, Pennsylvania.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of our services constitutes acceptance of the modified Terms.
